Introduction

These Terms and Conditions ("Terms") are a legal agreement between Kreate DXB (referred to as "Kreate DXB", "we", or "us") and you (the "Client" or "you"). By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services or website.

Kreate DXB is a Dubai-based company that helps entrepreneurs and small influencers grow their personal brands through professional content creation and consulting. We provide services including video production and editing, content strategy for social media (short-form and YouTube content), and podcast production/editing. These Terms outline the conditions under which we offer these services and the obligations of both Kreate DXB and the Client.

Services Description

Kreate DXB offers personal brand growth services that encompass:

• Video Creation and Editing: Professional filming and editing of videos to showcase your personal brand. This includes short-form videos (e.g., for Instagram Reels, TikTok) as well as longer-form YouTube content. We work with you from conceptualization to final edit to create high-quality video content.

• Content Strategy Consulting: Guidance and ideas for content, tailored to your brand and audience. We help plan content calendars, brainstorm short-form video ideas, YouTube topics, and strategies to maximize engagement. This may involve consulting sessions, feedback on your content, and personalized strategy development.

• Podcast Production: Editing and post-production for podcast episodes, including audio cleanup, adding intros/outros, and advice on format. If you run or are starting a podcast as part of your personal brand, we assist in producing professional-sounding episodes.

• Personal Brand Development: General consulting on growing your personal brand via digital content. This can include advice on social media profiles, cross-platform strategies, and other related creative consulting.

While we strive to deliver all services in a professional and timely manner, the exact scope of work, deliverables, and timelines for each project will be defined in a separate proposal or agreement with you (such as a project plan or invoice). These Terms apply to all services we provide, unless superseded by a more specific written contract.

Results Not Guaranteed

Kreate DXB will put forth its best effort to help improve your personal brand presence and content quality. However, we do not guarantee any specific results or outcomes from the use of our services. Growth in followers, engagement, reach, or any other performance metric on social media platforms depends on many factors outside our control – including each platform’s algorithms, the current trends, audience behavior, and the content you personally post or how you use the materials we create.

By using our services, you acknowledge and accept that results are not guaranteed. Kreate DXB may provide guidance and create content that has the potential to perform well, but we make no promise of increased social media followers, engagement rates, revenues, or any other specific performance goal. Past performance or examples shared by us (such as case studies or testimonials) are for illustrative purposes and do not assure similar outcomes for you.

Furthermore, social media platforms (such as Instagram, YouTube, TikTok, etc.) have their own rules and algorithms. These can change at any time, and they can affect how content is distributed or viewed. Kreate DXB is not responsible for any impact on results caused by changes in platform policies or systems.

Payment Terms

Our services are typically offered on a project or package basis, with pricing and payment terms agreed upon individually with each client. Payment details (such as total fees, payment schedule, and accepted payment methods) will be communicated to you in writing (for example, in a proposal, quote, or invoice) before work begins. By agreeing to proceed with a project, you agree to pay the fees as specified.

Key points regarding payment:

• Project Fees: You will be charged according to the scope of work outlined. This may be a one-time project fee or a recurring retainer/package fee depending on the service (e.g., monthly content creation packages vs. one-off video projects).

• Payment Schedule: In many cases, we may require a deposit or upfront payment before starting work, with the remainder due upon completion or according to milestones. The exact schedule will be defined in our agreement.

• No Refund Policy: All payments to Kreate DXB are non-refundable. Due to the creative and service-based nature of our work, once we begin executing a project and allocating time and resources, we cannot offer refunds. This policy applies to deposits, interim payments, and completed project fees. Even if you decide to cancel the project or are unsatisfied with the outcome, you acknowledge that we have invested time and resources that are not recoverable. We will, of course, strive to resolve any issues and ensure you are satisfied with the deliverables through revisions (as per the agreed scope), but refunds are not provided.

• Late Payments: If payment is not received by the agreed due date, Kreate DXB reserves the right to suspend work until the account is brought up to date. Invoices not paid on time may incur late fees or interest as permitted by law or as specified in the invoice/contract. Consistent failure to pay may result in termination of services (see Termination below).

Intellectual Property and Ownership

Ownership of Content

Any content created by Kreate DXB for you (including videos, edited podcasts, graphics, or written content) will be jointly owned by both you (the Client) and Kreate DXB, unless otherwise agreed in writing. This means:

• Client Rights: You have the right to use, publish, and distribute the final deliverables freely as part of your personal brand. Once the project is completed and paid for, you may post the videos or content on any of your social media accounts, websites, or other channels without needing further permission from us. The content is essentially yours to use for your personal and commercial purposes in growing your brand.

• Kreate DXB Rights: We retain the right to keep copies of the content we created and to use the final produced materials for our own legitimate purposes. This includes the right to showcase the work in our portfolio, on our website, on our social media, or in marketing materials as examples of our services (see Portfolio Use below). It also includes the right for us to reuse non-confidential portions of the project in training or internal materials. However, we will not sell or license the content to third parties without your consent.

Both parties (you and Kreate DXB) agree to respect any underlying intellectual property rights. If you provide us with materials to include in the content (such as your logo, graphics, music, or footage you own), you retain ownership of those materials, and you grant us a license to use them for the project. Conversely, if Kreate DXB provides any of its own pre-existing material or stock assets during production, those components may remain our property, but are licensed to you as part of the final deliverables.

Portfolio Use and Testimonials

By default, you allow Kreate DXB to reference and showcase the work we do for you as part of our portfolio and marketing efforts. This means we may display or mention your produced content (e.g., a clip of a video we edited, or a mention that we worked with you) on our website, social media, or in presentations to prospective clients. We may also mention your brand name or use your logo in a list of clients or case studies. Such use is solely to demonstrate our experience and the quality of our work.

We will handle any such references professionally and won’t disclose confidential details (for example, we might show the publicly available video but not any private strategy documents). If you prefer that we do not showcase the content we created for you or do not wish to be identified in our marketing materials, please inform us in writing (for example, via email). We will respect any such request and refrain from using your project in our portfolio.

Limitations of Liability

Limited Liability: To the fullest extent permitted by law, Kreate DXB's liability to you for any claims arising out of or related to our services or these Terms is limited to the amount you have paid us for the relevant service. In no event will Kreate DXB be liable for any indirect, consequential, exemplary, or special damages (including lost profits or lost opportunities) arising from our agreement or your use of our deliverables, even if we have been advised of the possibility of such damages.

No Liability for Platform Issues: You understand that once content is delivered to you, its use (for example, posting on social media or other platforms) is largely beyond Kreate DXB's control. We are not liable for any actions taken by third-party platforms on which you publish content. This includes, but is not limited to:

• Your social media or online accounts being banned, suspended, or restricted for any reason. (Each platform has its own community guidelines and rules; our content is created to the best of our understanding of those rules, but we cannot guarantee compliance or outcomes.)

• Removal or deletion of content by a platform. Platforms might remove or downrank content at their discretion (for example, due to copyright claims, algorithm changes, or mistaken flags). Kreate DXB is not responsible for such removals.

• Changes in platform algorithms or policies that affect the performance of the content. We are not responsible for any decrease in viewership or engagement due to factors like algorithm changes, policy shifts, or increased competition on the platform.

• Any other platform-related issues such as outages or technical problems on the social media services that impact your content’s visibility or your account’s standing.

Additionally, Kreate DXB is not liable for any loss or damage arising from:

• Client’s actions or omissions: For instance, if you edit the content after delivery or use it in a manner not recommended, or if you fail to follow platform guidelines when posting, any resulting issues are outside our responsibility.

• Unforeseen Events: Events beyond our control, such as natural disasters, acts of God, or other force majeure events that prevent us from delivering services as promised. In such cases, we will communicate with you and do our best to fulfill our obligations, but we may not be held liable for delays or inability to perform due to such events.

By engaging our services, you agree that you shall use the content and advice provided by Kreate DXB at your own risk. You are solely responsible for compliance with the terms of use of any third-party platforms where you use the content we create.

Termination

Either party may terminate the engagement or a specific project for convenience or for cause by providing written notice to the other (according to any notice period specified in our separate agreement, if applicable). In case of termination:

• You will be responsible for payment of all work completed up to the termination date (and any non-cancellable expenses incurred by Kreate DXB for your project).

• As noted in Payment Terms, payments already made are not refundable. If a project is terminated early, we will determine a fair amount for the work completed and apply any amounts already paid toward that. Any remaining unpaid balance for work already done will be due.

• Kreate DXB will deliver any partially completed work that has been paid for, as-is, without further obligation to revise or complete it after termination, unless otherwise mutually agreed.

• The sections of these Terms that by their nature should survive termination (such as Intellectual Property rights, Limitation of Liability, Governing Law, etc.) will continue to apply.

Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the United Arab Emirates. All services are provided from Dubai, and the interpretation and enforcement of these Terms will be in accordance with the laws applicable in Dubai, UAE, without regard to conflict of law principles.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services provided by Kreate DXB, the parties agree to seek an amicable resolution by negotiation in good faith. If such a resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. You agree that any legal proceedings will be brought in these courts, and you consent to the jurisdiction of those courts.
